Pampa Camarones SpA, through its affiliate Eco Earth Elements SpA, is pleased to announce the signing of two Unilateral Mining Property Purchase Option Agreements with Minera Mirasol Chile Limitada, a 100% subsidiary of Mirasol Resources [TSX: MRZ.V]. These agreements represent a significant expansion of the Ciclón-Exploradora project’s strategic footprint in the Taltal district, securing key mining property for the development of essential infrastructure, while also increasing potential resources in epithermal veins and adding exploration upside over porphyry targets in the Encantada area.
Nord Oeste Agreement
Under the first agreement, Eco Earth has secured an irrevocable option to acquire 100% of the Nord 9 and Nord 10 mining concessions, covering a total of 382 hectares. The total purchase price is US$511,550, payable over three years in four installments:
• US$36,550 (paid at signing)
• US$75,000 by June 2026
• US$150,000 by December 2026
• US$250,000 by June 2027
Upon exercising the option, Minera Mirasol will retain a 1.0% Net Smelter Return (NSR) royalty on all future commercial production. Eco Earth retains the right to buy back this royalty for US$1.0 million.
Nord Este Agreement
The second agreement covers a broader group of concessions known as Nord 2 through Nord 8, totaling approximately 1,574 hectares. Eco Earth has secured an exclusive option to acquire 100% of the concessions for a total price of US$2,044,986, structured in six payments between 2025 and 2029. The initial installment of approximately US$22,493 was paid at signing.
Additionally, Eco Earth has committed to invest US$500,000 in exploration activities over a three-year period to maintain the option in good standing.
Upon exercising the option, Minera Mirasol will retain a 2.0% NSR royalty. Eco Earth retains the right to buy back the first 1.0% of this NSR for US$3.0 million, and the remaining 1.0% for additional US$6.0 million.
Strategic Acquisition
EThe Nord Oeste block hosts an important part of the surface area planned for the construction of the processing plant, tailings storage facility, waste dump and other critical infrastructure. It also encompasses the eastern extension of the San Carlos mineralization and reaches the Exploradora Norte target, significantly increasing the project’s potential for epithermal polymetallic veins and mineralization. Meanwhile, the Nord Este properties cover the Encantada area, previously drilled as a porphyry copper target. Together, these acquisitions create strong geological and operational synergies with the existing and potential resources of the Ciclón-Exploradora project, reinforcing its consolidation as a district-scale opportunity.
